Scope of services

Phase 1: Preparation
▪ Transaction analysis, proposition of financial structures adapted to the client’s strategy and the transaction (including when several elements are involved).
▪ Preparation of the info package (financial model, investment memorandum…), identification of potential lernders.

Phase 2: Up to the lender(s) credit committee
▪ Approaching potential lenders, maintaining close contact with lenders, arranging introductory meetings and asset viewings.
▪ Reviewing key financial terms and conditions, structuring and coordinating the bank pool, advising the borrower in the choice of the lender(s), negociation and support of the lenders up to the final credit committee.

Phase 3: Until closing
▪ Reviwing financial clauses in the legal documentation, active participation in negociations.
▪ Stakeholders management, assisting in collecting the conditions precedent, ensuring smooth execution until closing.
